Terms of Service

These Terms of Service ("Terms") govern your access to and use of Agent21.ai (the "Platform"), operated by Agent21 LLC, a Florida limited liability company ("Agent21," "we," "us," or "our"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Acceptance of Terms

By accessing or using Agent21.ai, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration and Security

To use the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain a strong password (minimum 8 characters). You are solely responsible for safeguarding your credentials.
  • Not share your account or credentials with any other person. Each user must have their own account.
  • Notify us immediately at legal@agent21.ai if you suspect unauthorized access to your account.

You are responsible for all activity that occurs under your account, whether or not you authorized it. Agent21 is not liable for any loss or damage arising from unauthorized use of your account.

3. Service Description

Agent21 is a SaaS platform that provides autonomous AI agent management for businesses. The Platform enables users to:

  • Create and manage companies, each with up to 9 AI agents (CEO, CTO, CFO, CLO, Risk, Sales, Marketing, Product, and HR).
  • Configure agent personas, schedules, and integrations.
  • Interact with agents through commands, scheduled runs, and a chat interface.
  • Connect third-party tools via MCP server integrations and API keys.
  • Manage teams, billing, and company context from a unified dashboard.

Agent21 reserves the right to modify, update, or discontinue features of the Platform at any time with reasonable notice.

4. Subscription Plans and Billing

Agent21 offers three subscription tiers:

  • Trial (Free): 7-day free trial. Includes 9 default agents, 1 user (owner only), and platform API key access. No credit card required. Your account will be suspended after the trial period unless you upgrade.
  • Pro ($100/agent/month + $100/user/month): 9 default agents plus custom agents, unlimited team members, platform API key, and priority support.
  • Enterprise ($5,000/month): 21 agents included, 7 team members included, bring-your-own Claude API key, CTO integrations (Jira, GitHub, Cloud), and 99.9% uptime SLA.

All paid plans are billed monthly. Prices are in US Dollars and are exclusive of applicable taxes. You authorize Agent21 to charge your payment method for recurring fees. If payment fails, we may suspend your access until the balance is resolved. Refunds are handled on a case-by-case basis at our sole discretion.

5. AI-Generated Content Disclaimer

The AI agents on Agent21 generate analysis, recommendations, reports, and other outputs ("AI Outputs") using large language models. You acknowledge and agree that:

  • AI Outputs are not professional advice. Agent outputs do not constitute legal, financial, medical, tax, or any other form of professional advice.
  • AI Outputs may be inaccurate. Large language models can produce incorrect, incomplete, or misleading information. You must independently verify all AI Outputs before relying on them.
  • You are responsible for decisions. Any actions you take based on AI Outputs are entirely at your own risk. Agent21 is not liable for any consequences of decisions made using AI-generated content.
  • No fiduciary relationship. The Platform does not create any fiduciary, advisory, or professional relationship between Agent21 and you.

6. Data Ownership

Your Data. You retain full ownership of all data you provide to the Platform, including but not limited to: company information, agent configurations, context documents (CLAUDE.md), chat history, and any other content you create or upload ("Your Data"). You grant Agent21 a limited, non-exclusive license to process Your Data solely to provide and improve the Platform.

Our Platform. Agent21 retains all rights to the Platform itself, including its software, design, agent templates, default personas, and documentation. Nothing in these Terms transfers ownership of Agent21's intellectual property to you.

7. AI Agent Behavior

AI agents on Agent21 operate autonomously on your behalf based on the context, personas, and configurations you provide. You acknowledge that:

  • Agents act according to your instructions and configurations. You are responsible for reviewing and supervising agent outputs.
  • You are solely responsible for any actions, communications, or decisions made by agents running under your account.
  • Agent21 does not guarantee that agents will perform error-free or produce outputs suitable for any particular purpose.
  • Scheduled agent runs will execute automatically. You are responsible for reviewing their reports and approving or rejecting recommendations.

8. Third-Party Integrations

The Platform supports connections to third-party services through MCP (Model Context Protocol) server integrations and API keys. When you connect third-party services:

  • You are solely responsible for providing valid credentials and API keys.
  • Agent21 is not responsible for the availability, accuracy, or security of third-party services.
  • Your use of third-party services is governed by their respective terms of service and privacy policies.
  • You are responsible for any fees charged by third-party services as a result of agent activity.

9. Enterprise API Keys

Enterprise customers may provide their own Anthropic Claude API key. When using a custom API key:

  • All AI requests are routed directly through your Anthropic account.
  • You are subject to Anthropic's Terms of Service, Usage Policy, and rate limits.
  • You are responsible for all API usage costs incurred through your key.
  • Agent21 does not store, log, or share your API key beyond what is necessary to make API calls on your behalf.

10. Acceptable Use

You agree not to use the Platform to:

  • Violate any applicable law, regulation, or third-party rights.
  • Generate, distribute, or facilitate illegal, harmful, threatening, abusive, defamatory, or obscene content.
  • Attempt to reverse-engineer, decompile, or extract source code from the Platform.
  • Abuse agent capabilities to spam, harass, or conduct phishing or social engineering attacks.
  • Circumvent rate limits, security measures, or access controls.
  • Use the Platform to compete directly with Agent21 or to build a substantially similar product.
  • Share, resell, or sublicense access to the Platform without written permission.
  • Introduce malware, viruses, or other harmful code into the Platform.

Violation of this section may result in immediate suspension or termination of your account without notice or refund.

11. Intellectual Property

Agent21's IP. The Platform, including all software, algorithms, agent templates, default personas, user interface designs, branding, logos, and documentation, is the exclusive property of Agent21 LLC and is protected by copyright, trademark, and other intellectual property laws.

Your IP. You retain ownership of Your Data as described in Section 6. Any custom agent configurations, company context, and content you create through the Platform remain your property.

Feedback. If you provide feedback, suggestions, or ideas about the Platform, you grant Agent21 a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

12. Service Availability

  • Trial and Pro plans: The Platform is provided "as is" with no uptime guarantee. We make commercially reasonable efforts to maintain availability but do not guarantee uninterrupted service.
  • Enterprise plan: Agent21 targets 99.9% monthly uptime. Scheduled maintenance windows will be communicated at least 48 hours in advance. Uptime is measured excluding scheduled maintenance. Service credits for downtime exceeding the SLA will be provided as account credits, not cash refunds.

Agent21 is not responsible for outages caused by third-party providers (Anthropic, Supabase, Vercel), force majeure events, or your internet connectivity.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENT21 LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

AGENT21'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AGENT21 IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Agent21 LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Platform or violation of these Terms.
  • Actions taken by AI agents operating under your account.
  • Your Data or content you provide to the Platform.
  • Your use of third-party integrations connected through the Platform.
  • Your violation of any applicable law or third-party rights.

15. Termination

By You. You may terminate your account at any time by contacting us at legal@agent21.ai or through the Platform settings. Upon termination, you will have 30 days to export Your Data before it is permanently deleted.

By Agent21. We may suspend or terminate your account at any time if you violate these Terms, fail to pay applicable fees, or for any other reason at our reasonable discretion with 30 days written notice (or immediately for violations of Section 10).

Effect of Termination. Upon termination, your right to use the Platform ceases immediately. Sections 5, 6, 11, 13, 14, 16, and 17 survive termination.

16. Dispute Resolution

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered in the State of Florida, USA, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator, and the arbitrator's decision shall be final and binding.

Class Action Waiver. You agree to resolve disputes on an individual basis only. You waive the right to participate in any class action, collective action, or representative proceeding.

Governing Law. These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Exception. Either party may seek injunctive relief in a court of competent jurisdiction for violations of intellectual property rights or confidentiality obligations.

17. Changes to Terms

Agent21 may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by email or through the Platform. Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform and terminate your account.

18. Miscellaneous

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Agent21 regarding the Platform.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
  • No Waiver. Agent21's failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. Agent21 may assign its rights and obligations without restriction.
